Amazon takes $50M strategic stake in Taiwan PCB maker Gold Circuit

The terms: The shares were priced at 80% of a US$31 reference price — the five-day average closing price — and carry a three-year transfer restriction. Gold Circuit said it chose a private placement over a public offering after weighing issuance costs, timing, and its business relationship with the subscriber.

What's the endgame? Gold Circuit is a major PCB supplier for the ASIC servers of the four largest international cloud providers. The funds will support long-term working capital, while a separate US$228.7M plan approved the same day will fund a new plant, construction, and machinery, with investment starting in the fourth quarter of 2026 through unsecured convertible bonds.

Why now? Demand is running hot. Institutional investors expect Gold Circuit's Taiwan capacity to grow 50% year-over-year in the second half, with Thailand capacity rising five to six times, and utilisation at full capacity.

The signal: At roughly $50 million, the deal ranks in the 93rd percentile of non-VC private placements globally over the trailing 48 months, based on a sample of 5,673 rounds. It marks a rare direct equity tie between a hyperscaler and a component supplier — a sign of how far cloud giants are willing to reach down the AI hardware supply chain to secure capacity.
