Aequs lands $68M promoter equity to expand aerospace capacity

What's the deal? Precision engineering and contract manufacturing firm AequsDealroom has a profile for this one. Try Dealroom → said its board approved a US$88.3M equity infusion from its promoter group to expand capacity across its aerospace and consumer businesses. The money comes via warrants issued to Mellwood Trustee Services, trustee for the Melligeri Private Family Foundation.

How it works: The board approved up to 28,071,690 warrants, each convertible into one equity share of US$0.14 face value. Half the issue — US$44.1M — is payable upfront on allotment, twice the regulatory minimum, with the balance due on conversion.

What's the money for? Proceeds will fund capacity expansion, including the development of the Hosur facility, investment in subsidiaries and joint ventures, and general corporate purposes. The equity also forms the base against which Aequs will raise term borrowings for the expansion.

Why now? Executive chairman and chief executive officer Aravind Melligeri said the firm is "winning programmes faster than we had planned for, and those wins need investment ahead of the revenue they bring." The board assessed its equity requirement through FY28 and decided to meet it through this issue.

On full conversion, the promoter group's stake rises from 59.09% to 60.73%. The promoter has committed to pay the balance in full, regardless of the share price at exercise; conversion must take place on or before December 31, 2027.

What's next? The preferential issue needs shareholders' approval and statutory clearances. Aequs has convened an extraordinary general meeting for October 22.

The signal: By funding expansion through promoter equity rather than a broader raise, Aequs signals confidence in its aerospace and consumer pipeline while keeping control tight — with a wider capital raise held in reserve for later growth.
