What are the terms? The deal implies a pro-forma enterprise value of $401.4 million, excluding earnout consideration. GOWell's existing equity holders converted 100% of their stakes into the combined company and are expected to own roughly 64.7% of it.
What's the endgame? Going public gives GOWell a Nasdaq listing under the ticker "GOW," subject to listing requirements. Inflection Point Asset Management led a $70 million convertible preferred PIPE, with $20 million funded at signing. PIPE investors are expected to hold about 14.8% of the post-combination company.
Why now? The parties first signed a letter of intent on July 29, 2025, then a business combination agreement on October 13, 2025. The SEC declared the Form F-4 registration statement effective on August 11, 2026, clearing a key hurdle.
What could go wrong? The company repeatedly extended its deadline to close a deal — from August 14 to August 31, 2026, with board authority to push it as far as December 31, 2026. In late August, the parties also amended the agreement to lift all post-closing lock-up restrictions for sponsors and representatives, making 3,337,500 shares freely tradeable upon closing.
The signal: The deal shows SPACs remain a viable route to public markets for niche industrial firms, with energy-services players tapping shell companies to secure listings and fresh capital in one move.
