The bigger number. The stake sale is only part of a wider deal. Nido also issued new equity and warrants to the buyers, raising a further US$196.4M in primary capital and taking their total investment past US$271.6M.
What changes? The buyers now hold 58.26% of Nido, rising to a higher share on a fully diluted basis once warrants convert within 18 months. Nido has therefore ceased to be an Edelweiss subsidiary.
What Edelweiss keeps. The sellers retain a 38.91% stake, which will dilute to 25.46% after warrant conversion. Edelweiss thus monetises the subsidiary while holding a meaningful minority interest.
The signal: The gap between the US$78.9M secondary sale and the more than US$271.6M total commitment shows most of the capital is flowing into Nido's balance sheet, not to the parent. That points to buyers funding the lender's growth rather than simply buying out the promoter group.
