What each side does: AES India provides engineering, procurement, and construction (EPC) services for the automotive, rails, agriculture and construction equipment, white goods, and general manufacturing sectors. T-NET supports social infrastructure projects — roads, bridges, and tunnels — plus production facility work for automotive, plant engineering, and industrial machinery.

What changes? The deal involved SMISL's full shareholding, held through itself and its nominees, cutting Motherson's effective capital holding in AES India to zero. T-NET now holds full control of the joint venture.

Why now? Motherson first told the stock exchanges of its intent to sell the stake in a letter dated August 10, 2026. AES India's board approved the transfer on September 24, once all conditions precedent were met.

The signal: The exit marks a consolidation of Motherson's portfolio, shedding a minority stake in an EPC-focused venture. With full control, T-NET may fold its infrastructure and industrial machinery expertise into the joint venture's EPC business.
