The two companies have formed a Nevada joint venture, with Phenom's subsidiary Copper One USA holding an initial 85% stake and SSR the remaining 15%.
How it works: Copper One has transferred the Dobbin project claims to the JV company, while SSR has delivered its initial contribution to fund the project's advancement. Copper One will act as the initial manager and retain operational control while it holds a majority interest.
What each side gets: Once the initial contribution is spent, both parties will fund further exploration pro rata, subject to dilution. If either side falls below 10%, it exits the JV and receives an up-to-2% net smelter return royalty on production.
What's the endgame? Phenom holds a 100% interest in the Dobbin gold property, a Carlin-gold-type target, alongside the Crescent Valley property and the Carlin gold-vanadium project, which hosts what the company calls North America's largest, highest-grade primary vanadium resource. The SSR partnership is aimed at speeding up work at Dobbin.
Why now? Combined, SSR's investment in Phenom and the JV contribution provide about $11 million in funding. That will support exploration through the rest of the 2026 drilling season and when work resumes in early summer 2027.
Between the lines: "We are very pleased to have SSR as our largest shareholder and now as our partner in advancing the Dobbin project," said Phenom president and chief executive officer Paul Cowley. He added that the company looks forward "to benefiting from SSR's added technical expertise and input."
The signal: Established miners increasingly take minority stakes and JV positions in junior explorers rather than outright buyouts, spreading risk while securing exposure to promising early-stage assets. For juniors like Phenom, such deals bring both capital and technical backing to move projects forward.
