LightOn taps same backers for €4M bond financing, extending runway to 2027

What's the deal? French AI firm LightOnDealroom has a profile for this one. Try Dealroom → has raised a new bond financing worth up to €4 million in nominal value, subscribed by the same group of European investors — including lead Vester FinanceDealroom has a profile for this one. Try Dealroom → — behind its April 2026 round. The company received €1.8 million immediately and expects total proceeds of €3.7 million.

Why now? The deal extends LightOn's cash horizon to September 2027. Since July 2026, the company said it has optimised its cost structure and resource allocation while keeping the capabilities needed to hit its strategic goals.

How it's structured: The financing splits into two bond issues. Convertible bonds with a €10 nominal value were subscribed at 92%, for €1.84 million paid in full on subscription day; simple bonds at a €9.20 nominal value were subscribed at 100%, for another €1.84 million, payable in two installments once share-liquidity conditions are met.

The bonds carry no interest or guarantee. Any not converted within 24 months will be repaid at 100% of nominal value. LightOn's four co-founders, who hold 2,868,742 shares, have committed not to sell 95% of their stakes until 80% of the bonds are converted or redeemed.

What's the endgame? "This funding thus strengthens our execution capabilities at a key moment in our transformation," said chief executive officer Jean-Philippe Baert. He added that LightOn will soon detail new technological advances and a new commercial offer aimed at both private organisations and the public sector.

What could go wrong? LightOn warned that changes to its assumptions on revenues, costs, or public or private funding could affect its cash horizon. It continues to seek investors to support medium-term growth.

The signal: Repeat backing from the same investors — the second such round in five months — points to continuity rather than expansion, giving LightOn a year of runway to prove out its next product and commercial push.
