Emerge cuts borrowing rate to 7.3% in US$4.29M Desjardins refinancing
What's the deal? Emerge CommerceDealroom has a profile for this one. Try Dealroom → (TSXV: ECOM), a Toronto-based acquirer and operator of profitable e-commerce brands, has refinanced its US$4.29M (≈$4.2 million) senior credit facility with Desjardins Ontario Credit Union. The new seven-year term loan runs through September 2033 and cuts the interest rate from 11.0% to 7.3%.
Why now? Emerge previously ran on a 12-to-18-month refinancing cycle, exposing it to recurring costs and near-term maturity risk. The old facility was due to mature in October 2027; the new deal pushes that out by six years and removes the repeat refinancing burden.
What's in it? The rate drops to Prime + 2.85% from Prime + 6.55%. Emerge also gains a US$733.3K revolving line of credit, guaranteed by Export Development CanadaDealroom has a profile for this one. Try Dealroom →, and an interest-bearing account for its cash balances.
What's the endgame? The company expects roughly US$293.3K in annual cash flow savings, with most directed toward reducing debt. It says it will keep flexibility to invest in its businesses and pursue acquisitions.
Founder and chief executive officer Ghassan Halazon called the move "one of our key stated priorities for years," adding it was "only made possible by EMERGE's significantly improved financial profile."
Chief financial officer Mike Murphy described the deal as "transitioning from restrictive, short-term financing to a long-duration capital structure."
The signal: Graduating from high-cost, short-cycle debt to a traditional bank facility marks a maturing credit profile for Emerge. For a serial acquirer, a lower cost of capital and longer runway reset the terms on which future deals can be financed.
