SafeSpace Global lines up up to $11M to fund AI security push

What's the deal? SafeSpace Global (OTCID: SSGC), a Knoxville-based AI physical-security company, has secured access to up to $11 million in financing to fund its next phase of growth. The package combines an equity purchase agreement of up to $10 million over a 36-month period with a $500,000 senior secured promissory note, plus a further $500,000 tied to certain obligations.

What does the company do? SafeSpace Global's visual AI plugs into a facility's existing camera infrastructure to flag potential weapons and other threats, then sends verified alerts to response platforms after human checks. It serves K-12 schools, senior living, addiction-treatment and correctional facilities, and faith-based organisations.

What's the money for? The company plans to invest behind its technology, commercialisation and strategic opportunities while building infrastructure to scale. It frames the deal as vertical broadening and multi-channel revenue growth.

Why the structure? Rather than a single raise, SafeSpace Global has opted for a framework that draws capital over an extended window. "We now have a financing framework designed to provide access to capital over an extended period as we execute our growth strategy," said founder and chief executive officer Scott M. Boruff.

What could go wrong? The full $11 million is not committed cash — it is capacity, subject to the terms of each agreement. Equity purchase facilities on small-cap OTC stocks are drawn against share issuance, which can dilute existing holders as the company taps the line.

The signal: At $11 million in potential capital, this sits near the bottom of comparable deals — around the 9th percentile by size. For a micro-cap chasing the physical-security and threat-intelligence market, the flexible, phased structure signals a company buying runway to prove commercial traction rather than making a single big bet.
