Clariane signs €700M credit facility to 2031, following €500M bond sale
What's the deal? ClarianeDealroom has a profile for this one. Try Dealroom →, the Paris-listed care home and health services operator, has signed a €700 million unsecured revolving credit facility maturing in 2031. The five-year facility replaces the group's existing syndicated line and includes an accordion option allowing it to grow to €900 million.
Why now? The signing follows the success of a €500 million senior bond offering completed on September 8. Together, the two moves refinance existing debt and give Clariane fresh liquidity for general corporate purposes and capital expenditure.
The terms: Borrowings carry a floating rate of EURIBOR plus a margin of 1.75% to 3.50%, set by the group's net leverage ratio. An ESG mechanism can shift the margin by up to six basis points, tied to staff training, workplace injury rates, and ISO 9001 certification of facilities.
The fine print: The sole financial covenant caps total net leverage, which must stay below 7.00x until June 2027 before stepping down to 6.00x from June 2029. At June 30, 2026, "Wholeco" leverage stood at 4.9x, or 5.4x pro forma for a bond redemption.
The facility also limits annual dividends to 7% of Clariane's market capitalisation, provided net leverage does not exceed 4.5x. No liquidity maintenance covenant applies.
The signal: At €700 million, the raise sits near the top for post-IPO debt in French health — above the 91st percentile of comparable deals. The staggered covenant step-downs point to a company steadily working to reduce leverage while locking in funding through the decade.
