Skyways Air Services raises $5M in pre-IPO placement, trims fresh issue

What's the deal? Skyways Air ServicesDealroom has a profile for this one. Try Dealroom → has raised US$6.55M through a pre-IPO placement of 4,019,326 equity shares at US$1.63 each. The company cut its planned public fresh issue by the same number of shares.

Why now? The placement lets Skyways lock in capital ahead of its book-built public offer, whose outcome remains uncertain. The proceeds are currently parked in Fixed Deposit Receipts, earmarked for general corporate purposes.

What's changed? Skyways reduced the fresh issue disclosed in its Draft Red Herring Prospectus from up to 32,917,700 shares to up to 28,898,300 shares. The reduction is subject to compliance with Rule 19(2)(b) of the Securities Contracts (Regulation) Rules.

The revised offer now comprises a fresh issue of 28,898,300 shares — 68.43% of the total — and an offer for sale of 13,333,300 shares, or 31.57%. Together they make up a public offer of 42,231,600 shares. The company says the placement did not exceed 20% of the fresh-issue size.

What could go wrong? Skyways told pre-IPO subscribers there is no guarantee it will proceed with the public offer, that the offer will succeed, or that listing will result. The disclosure does not state whether the deposited funds would be returned if the company does not proceed.

There is also a numbers gap. Subtracting the 4,019,326 placement shares from the original DRHP cap of 32,917,700 gives 28,898,374 shares — 74 more than the stated revised figure of 28,898,300. The supplied disclosure does not explain the difference.

The signal: Pre-IPO placements have become a common way for Indian companies to raise early capital and shrink their public fresh issue before listing. For Skyways, the move secures funds upfront — but the unresolved share-count discrepancy and the absence of a refund clause leave open questions ahead of the offer.
