The terms: Agnico Eagle is acquiring 9,846,274 shares at US$1.50 each. The financing carries no warrants or fees and will fund exploration at Cuddy Mountain, Speed Goat, and other projects.

What's the endgame? On closing, Agnico Eagle gains an earn-in on the Elk City Project and an option on Muldoon, each letting it earn up to 70% by funding US$60 million and US$30 million, respectively, over eight years. Scout will run the programs, with about US$9.4 million budgeted through 2027.

Why now? Scout is also issuing 2,284,821 shares to buy seven projects outright from Elemental Royalty subsidiaries. The move eliminates roughly US$4.5 million in future cash payments and US$8.4 million in work commitments.

What could go wrong? Agnico Eagle's share issuance stays conditional until closing, which hinges on customary conditions and the completion of the Muldoon ownership transfers. The securities are unregistered and cannot be resold absent registration or an exemption.

The signal: The round sits in the top 6% of all-time early-stage venture deals in US energy, a sign of how much capital a major miner will commit to secure exploration ground. For Scout, a strategic backer covering up to US$90 million of Idaho work turns a junior explorer into a well-funded operator.
