Cenntro raises $57M in expanded private placement

What's the deal? Cenntro Inc.Dealroom has a profile for this one. Try Dealroom → (NASDAQ: CENN) has raised roughly $57,047,760 in gross proceeds through a private placement of 15,120,000 common shares priced at $3.773 each. The company said the proceeds will fund working capital and general corporate purposes.

Why now? On September 14, 2026, Cenntro's board approved an amendment increasing the offering from a maximum of 12,800,000 shares to up to 15,120,000, while keeping the price fixed. That $3.773 figure reflects the average Nasdaq official closing price over the five trading days before August 25, 2026, when the initial securities purchase agreement was signed.

Who took part? Accredited investors participated, each certifying they were not US persons under Regulation S. The placement ran without general solicitation or advertising and was not offered to the public.

The signal: At about $57 million, the raise ranks in the 95th percentile of non-VC private placements in the energy sector over the trailing 48 months, based on a sample of 2,687 rounds. That places Cenntro's deal among the largest of its kind, a notable outlier for a company financing itself outside traditional venture channels.
