Soitec launches €500M convertible bond offering due 2033

What's the deal? Soitec, a French semiconductor materials maker, launched a €500 million offering of bonds convertible into or exchangeable for shares (ORNANEs) due September 2033. The placement targets qualified investors only, with settlement expected September 25, 2026.

The terms: The bonds carry a fixed coupon between 0.50% and 1.00% per annum and a conversion premium set 50% to 55% above the reference share price. Bondholders can require early redemption on the fifth anniversary of issuance.

What's the endgame? Soitec, based in Bernin near Grenoble, designs and manufactures semiconductor materials. It intends to use the net proceeds for general corporate purposes, including refinancing existing debt and funding organic growth.

Why now? The company is raising through a convertible structure alongside a concurrent accelerated bookbuilding, whose settlement is expected September 22, 2026. Unless converted or redeemed earlier, the bonds mature at par on September 25, 2033.

The signal: At €500 million, the raise ranks in the top 6% of post-IPO convertible rounds in France over the trailing 48 months, across a sample of 334 deals. The scale points to strong investor appetite for European chip-materials firms tapping debt markets to fund expansion.
