Cancer biotech Calidi raises $1.2M in registered direct offering

What's the deal? Calidi Biotherapeutics (NYSE American: CLDI), a San Diego cancer therapy developer, has raised roughly $1.2 million in a registered direct offering. It agreed to sell 1,025,640 shares of common stock to accredited investors and qualified institutional buyers at $1.17 each, with closing expected on or about September 18, 2026.

What's the money for? Calidi intends to use the net proceeds for working capital and general corporate purposes. The offering is being made under a shelf registration statement declared effective by the US Securities and Exchange Commission in October 2024.

What's the endgame? Calidi is building targeted genetic medicines aimed at distal sites of disease. Its proprietary RedTail platform uses an engineered enveloped oncolytic virus, designed to evade immune clearance and reach metastatic tumours for lysis and gene delivery.

Where's the pipeline? Lead candidate CLD-401 is in IND-enabling studies, targeting metastatic non-small cell lung cancer, head and neck cancer, and other tumours with high unmet need. The company is also developing an approach to incorporate in situ T-cell engagers in solid tumours.

The signal: The modest raise underscores the capital pressures on early-stage biotechs, which lean on incremental equity offerings to fund working capital while their lead candidates remain years from market.
