SCWorx raises $940K in private placement as it fights to keep Nasdaq listing

What's the deal? SCWorxDealroom has a profile for this one. Try Dealroom →, a provider of data management solutions to healthcare providers, has raised roughly $938,000 in gross proceeds through a private placement with institutional and accredited investors. The company sold 350,000 units — each pairing a share of common stock with a warrant — at $2.68 per unit. Dawson James SecuritiesDealroom has a profile for this one. Try Dealroom → acted as placement agent.

Why now? The raise is a lifeline tied to a tight regulatory deadline. Trading of SCWorx's stock has been suspended on the Nasdaq Capital Market since April 14, 2026, and it now trades on the OTCQB market.

What's the endgame? The financing is designed to help SCWorx clear a Nasdaq compliance hurdle. Once the new shares are issued, the company expects to have more than 500,000 publicly held shares, meeting one part of Nasdaq Rule 5550(a)(4). Net proceeds are earmarked for working capital.

What could go wrong? A lot. Nasdaq requires SCWorx to hit the share threshold and hold a closing bid price of at least $1.00 for 10 consecutive trading days, both by October 5, 2026. Miss that, and the company expects Nasdaq to delist its stock.

Investors are hedged. Proceeds sit in a segregated account until November 30, 2026, and if trading does not resume on Nasdaq by October 31, 2026, each investor can demand its money back in exchange for cancelling the securities.

The signal: The structure — warrants, escrowed cash, and refund rights — shows how much risk investors priced into backing a company on the edge of delisting. For SCWorx, the $938,000 buys time, not certainty.
