American AgCredit refinances with $150M debt to dodge dividend reset

What's the deal? American AgCreditDealroom has a profile for this one. Try Dealroom →, the fifth-largest US Farm Credit association, has raised $150 million in subordinated notes, with Piper Sandler & Co.Dealroom has a profile for this one. Try Dealroom → acting as sole initial purchaser. The cooperative paired the proceeds with $50 million in cash to redeem $200 million of its Series A preferred stock.

Why now? The preferred stock, issued in June 2021 at a 5.25% fixed rate, was set to reset on June 15, 2026, to the five-year US Treasury rate plus 450 basis points. With Treasury yields near 4.00%, that reset pointed to roughly 8.50% — an annual dividend of about $17 million on the $200 million redeemed.

What's the endgame? The new 15-year notes mature in 2041 and carry a fixed 6.75% rate for the first decade, resetting quarterly thereafter. They require about $10.1 million in annual interest, delivering close to $6.9 million in yearly savings and shielding the balance sheet from the rate cliff.

What's the deal for members? The refinancing lets the member-owned cooperative keep supplying credit to its more than 12,000 agricultural member-owners. "Farmers and ranchers need reliable, consistent credit to grow and thrive, and it's our job to provide this financing," said chief executive officer Curt Hudnutt.

The signal: At $150 million, this ranks among the largest US debt rounds in the food sector, above roughly 94% of comparable deals on record. It reflects a wider shift as institutions swap expensive pandemic-era capital for long-term debt in a higher-rate environment.
