Bhangdiya family moves to seize control of GSL Securities in ~$1.3M deal

What's the deal? The Bhangdiya family has triggered a mandatory open offer to acquire up to 26% of GSL SecuritiesDealroom has a profile for this one. Try Dealroom → at US$0.57 per share, part of a broader move to take control from the current Bagrodia-led promoter group. The open offer targets 1,111,526 shares, for total consideration of US$634K. Combined with an earlier share purchase agreement, the full potential acquisition is worth about US$1.72M (≈$1.3 million).

Why now? The open offer follows a share purchase agreement dated September 16, 2026, under which the acquirers bought a 44.62% stake from the existing promoters for US$1.09M. Under Indian takeover rules, that purchase automatically triggered the public open offer to minority shareholders.

Who's involved? The acquirers are Shrikant Mitesh Bhangdiya, Aarti Shrikant Bhangdiya, and Sonal Kirtikumar Bhangdiya. Their combined holding will rise from 23.97% to 44.62% after the SPA completes.

What changes? Once complete, the current promoters will transfer control and management to the Bhangdiya family. Existing promoter group members, including Sarita Ashok Dalmia, Archana Goenka, and Sandeep Goenka, will be declassified from the promoter category under Regulation 31A of the SEBI (LODR) Regulations, 2015.

The signal: The uniform US$0.57 price across both the off-market share purchase and the public open offer points to a negotiated block deal rather than a market-driven premium. By securing nearly two-thirds of voting rights, the Bhangdiya family is consolidating control and completing a clean handover from one promoter family to another.
