Westport secures $25M equity facility from Roth to fund operations

What's the deal? Westport Fuel SystemsDealroom has a profile for this one. Try Dealroom →, a Vancouver-based supplier of alternative-fuel transportation technologies, entered into a Committed Equity Facility of up to $25 million with Roth Principal Investments on September 15, 2026. The facility lets — but does not require — Westport to sell common shares to Roth over time via private placement.

What's the endgame? Westport designs and supplies components and systems that enable vehicles to run on natural gas, renewable natural gas, and hydrogen. The company plans to use any net proceeds for working capital and general corporate purposes.

How it works: Westport can draw on the facility opportunistically, at its own discretion, once it files a resale registration statement with the SEC and that statement becomes effective. It is under no obligation to use the full amount.

What could go wrong? Westport may not be able to sell the full $25 million. Under Nasdaq rules, it cannot issue Roth more than 19.99% of shares outstanding — the "Exchange Cap" — without shareholder approval, and sales are further limited by the volume of shares registered for resale.

The signal: The facility is a modest raise, placing it in the bottom quartile by deal size. For a dual-listed company on the TSX and Nasdaq, a committed equity facility offers a flexible way to tap capital as needed rather than through a single fixed raise — a structure suited to a firm managing cash while betting on the shift to cleaner transport fuels.
