Medicalgorithmics secures $2.7M debt line from shareholder BioFund

What's the deal? MedicalgorithmicsDealroom has a profile for this one. Try Dealroom →, a Warsaw-listed cardiac diagnostics company, has signed a loan agreement worth up to US$2.5M with its shareholder BioFund Capital Management. The Miami-based investor is the sole lender in the post-IPO debt facility, announced September 16, 2026.

How it works: The loan carries a fixed interest rate of 10% a year, charged only on drawn and unpaid principal. Funds are available in one or more tranches over six months, with each tranche paid within five business days of a company request.

Repayment terms: Medicalgorithmics pays interest only for the first six months after the initial drawdown, then repays the principal in equal monthly instalments. The final repayment date is June 30, 2030.

Why now? The facility builds on an earlier loan the two parties signed on April 15, 2025. Combined repayments across both agreements — covering principal, interest, prepayment fees, and other charges — are capped at twice the total principal actually paid out, up to a maximum of US$9.5M.

The fine print: The agreement includes a one-off payment to BioFund if certain liquidity events occur, including a change of control, merger, delisting, or sale of key assets. The only security is a voluntary submission to enforcement of up to US$3.75M; there are no financial covenants, asset pledges, or corporate rights for BioFund.

The signal: The deal underscores how listed medical-technology firms are leaning on existing shareholders for flexible debt financing, drawing capital in tranches rather than through fresh equity or a single lump sum.
