Whitfield to acquire Revolve Renewable Power at 31% premium
What's the deal? Whitfield Power Solutions has agreed to acquire all outstanding shares of Revolve Renewable Power Corp.Dealroom has a profile for this one. Try Dealroom →, a North American owner, operator, and developer of renewable energy projects, under a court-approved plan of arrangement announced September 15, 2026.
The terms: Revolve shareholders can elect $0.23 in cash per share or one Class B Unit of Whitfield for every 10,000 shares held. Those who make no election will receive cash. The cash offer represents a 31.4% premium to Revolve's September 14 closing price on the Canadian Securities Exchange, and a 32.3% premium to its 20-day volume-weighted average price.
What's the endgame? The combination is designed to create an integrated power-and-AI-compute growth platform. The unit option lets shareholders retain equity in the combined private company and share in any future growth.
Why now? Demand for electricity to run AI data centres is reshaping the power sector, pushing developers and compute operators to link generation assets with computing capacity.
ATB Cormark Capital Markets gave Revolve's board and special committee a verbal fairness opinion that the cash consideration is fair to shareholders from a financial point of view. A special committee of independent directors oversaw the process.
The signal: Pairing renewable generation directly with AI-compute demand marks a growing convergence of the energy and data-centre industries — and a bet that power, not just chips, is the scarce resource in the AI build-out.
