MedPlus to take full control of Optival in ₹1.10 crore deal

What's the deal? MedPlus Health Services has approved the acquisition of the residual 0.01% stake in its material subsidiary, Optival Health Solutions, for an aggregate consideration of ₹1.10 crore. The purchase of 17,986 equity shares will lift MedPlus's holding from 99.99% to 100%, making Optival a wholly owned subsidiary.

What's the endgame? Optival runs a pharmacy retail business from its registered office in Hyderabad, Telangana. Taking full ownership is meant to consolidate control and streamline the subsidiary's operations and reporting.

The numbers: Optival, incorporated on July 11, 2005, reported a turnover of ₹6,816.44 crore for the 2025-26 financial year. As of March 31, 2026, its paid-up share capital stood at ₹209.80 crore against authorised capital of ₹210 crore.

Why now? The move closes out a near-complete ownership position, with the final amount subject to mutual negotiation and the deal contingent on documentation and transmission formalities.

The signal: The transaction tidies up MedPlus's corporate structure by folding a large, revenue-generating unit fully under its umbrella — simplifying management and reporting for a subsidiary that already drives significant scale.
