Analog Devices buys Alif Semiconductor for $1.35B to push AI into physical systems

What's the deal? Analog DevicesDealroom has a profile for this one. Try Dealroom → (ADI) will acquire Alif Semiconductor in an all-cash deal for $1.35 billion, with up to $200 million in additional contingent consideration. Alif builds AI-native microcontrollers and fusion processors for edge computing. The transaction, approved by both boards, is expected to close before the end of 2026.

What's the endgame? ADI is chasing what it calls "Physical Intelligence" — systems that sense, reason, and act locally in real time. Alif's chips add on-device AI and real-time sensor fusion to ADI's portfolio in sensing, signal processing, power, and connectivity.

Why now? ADI argues AI is moving beyond text and images toward understanding the physical world through signals like motion, sound, vibration, and radio waves. That shift demands local processing within tight power, latency, and security limits.

"AI is moving out of the data center and into the physical world, where latency, power, and trust cannot be compromised," said Vincent Roche, ADI's chief executive officer and chair.

What changes for customers? ADI says the combination gives customers a scalable platform to build full system solutions by pairing next-generation digital chips with its analog portfolio. That expands its addressable market across industrial, data center, defense, energy, robotics, digital health, and wearable applications.

Alif's silicon is already shipping in production, with design wins across consumer and industrial customers. "Alif was founded to reimagine what a microcontroller can be in the AI era," said Reza Kazerounian, co-founder and president of Alif.

The signal: The deal marks another push to bring AI inference out of centralised data centres and onto local hardware. As models start interacting with real-world signals, chipmakers with both analog and digital capabilities are positioning to own the edge.
