What changes for the group? The venture marks Suntar Eco-City's entry into Hainan, a region positioned as a major free trade port. The move aligns with its existing property development business and expands its footprint in the Chinese market.

Who runs it? The board will comprise three directors, with each shareholder nominating one. Wuping Suntar secures the chairman and legal representative roles; Hainan Suiji supplies the general manager; and Boyida appoints the finance officer.

With a 40% stake rather than a majority, Suntar Eco-City will not hold unilateral control. Strategic decisions will require consensus among all three partners.

The money: Partners will initially contribute a portion of their subscribed capital, putting Wuping Suntar's first payment at RMB22.5 million, with the balance to follow pro rata under a future shareholders' resolution. The group will fund its investment through internal resources.

Suntar Eco-City does not expect the venture to materially affect net tangible assets per share or earnings per share for the financial year ending December 31, 2026.

The partners: Hainan Suiji is a PRC-incorporated company focused on digital technology and related services, while Boyida works in health and wellness technology. Both are independent third parties unrelated to Suntar Eco-City, its directors, or controlling shareholders. The company said the partner information was provided by them and has not been independently verified.

The signal: The tie-up pairs Suntar Eco-City's property experience with partners in digital technology and health and wellness — a combination that hints at ambitions beyond conventional development in one of China's fastest-opening markets.
