Multiconsult and Rejlers merge to build 8,000-strong Nordic advisory group

The boards of both companies have adopted a joint merger plan, combining teams in engineering, architecture, consulting, and design under one roof.
The terms: Multiconsult shareholders will receive 0.9725 Rejlers B-shares for each Multiconsult share, giving them a 54% stake in the combined company. Rejlers shareholders will hold the remaining 46%.
What changes at the top? Viktor Svensson will lead the group, with Kristian O. Augustad as deputy chief executive officer. Multiconsult said chief executive officer Karsten Warloe leaves immediately and is temporarily replaced by Kristin O. Augestad; finance director Ove B. Haupberg plans to step down once the merger completes.
Sweden becomes home. Rejlers will hold its primary listing on the Stockholm exchange, with a secondary listing in Oslo, and Sweden will be the combined company's home country, according to the merger agreement.
Why the deal? "The merger enables both companies to create significant long-term value for shareholders," said Rejler chair Peter Rejler (translated from Norwegian). Multiconsult chair Rikard Appelgren called it a unique opportunity, noting the company's shareholders "will continue as significant owners in the combined company."
The math. Multiconsult Rejlers will have close to 8,000 employees. The group expects annual cost synergies of about SEK100–120 million, with full effect within three years and one-off integration costs of roughly SEK40 million.
The signal: The tie-up reflects continued consolidation among Nordic engineering and advisory firms racing to scale, pool specialist talent, and compete for larger, cross-border projects.
