What's the deal? Power Leaves Corp. has completed a reverse takeover of Atmofizer Technologies Inc.Dealroom has a profile for this one. Try Dealroom →, a business combination that gives it a public listing on the Canadian Securities Exchange. The renamed Power Leaves Holdings Corp.Dealroom has a profile for this one. Try Dealroom → is expected to begin trading on or around September 9, 2026 under the symbol "NASA."
What's the endgame? Power Leaves develops and manufactures decocainized coca leaf derivatives for the global food and beverage market. Through the deal, it acquired all of Atmofizer's issued and outstanding common shares and now carries on the Power Leaves business.
How it's structured: The transaction was completed through a three-cornered amalgamation under the Business Corporations Act (Ontario), involving the company, its wholly-owned subsidiary 1001572092 Ontario Inc., and Power Leaves. It followed a business combination agreement dated April 15, 2026, later amended twice.
Why now? Chief executive officer Pat McCutcheon framed the listing as an access-to-capital moment. "For the past several years the constraint on this business hasn't been demand; it's been capacity," he said.
What changes? McCutcheon said Power Leaves has a commercial pipeline with flavour houses and consumer packaged goods companies awaiting greater production volume and completed certifications. "This financing goes directly into manufacturing equipment, quality systems and the processes that let us convert that pipeline into revenue," he said.
The signal: A reverse takeover offers a faster route to public markets than a traditional listing, and here it lets a niche food-ingredient maker inherit a shell's exchange presence. The move ties Power Leaves' growth to its ability to scale manufacturing and clear customer quality audits.
