Gossamer Bio secures up to $250M to push seralutinib toward FDA approval

What's the deal? Gossamer Bio, a San Diego clinical-stage biopharmaceutical company, has entered a structured private placement expected to provide up to $250 million in gross proceeds. The financing backs seralutinib, its treatment for pulmonary arterial hypertension (PAH) and pulmonary hypertension associated with interstitial lung disease.

How it's structured: The deal includes $150 million of committed capital. About $25 million funds at an initial closing expected on or about August 24, 2026, with a further $125 million to follow once the FDA accepts the seralutinib new drug application (NDA) in PAH.

What's the endgame? An additional $100 million could come via warrants exercisable upon FDA approval of seralutinib in PAH. The financing follows Gossamer's reacquisition of worldwide rights to the drug and precedes a planned NDA submission in September 2026.

Why now? The structure ties capital to regulatory progress. "The committed funding structure aligns capital availability with key regulatory milestones," said Faheem Hasnain, chairman, co-founder and chief executive officer, adding it is expected to support "the planned submission and review of our NDA."

If the NDA acceptance milestone occurs in 2026, Gossamer expects to receive the full $150 million of committed capital this year. The investors' obligation to fund the second closing remains subject to that milestone and other customary conditions.

The signal: At up to $250 million, the round ranks in the 96th percentile among US health private placements tracked all-time, a sample of 341 deals. Its milestone-linked design reflects how biotech investors are increasingly pacing capital to regulatory events rather than writing single upfront cheques.
