I Squared to buy Australia's oOh!media for A$1.04B in cash

What's the premium? The offer is about 100% above oOh!media's undisturbed closing price of A$0.85 on April 28, 2026. The deal is structured as a scheme of arrangement.

What does oOh!media do? The Sydney-based company runs more than 30,000 digital and static advertising assets across Australia and New Zealand. Its network spans roadside billboards, street furniture, rail and transit, airports, and retail spaces.

Why I Squared? The Miami-based infrastructure investor manages over $60 billion in assets and targets scaled network businesses with established revenue and long-term contracts. The purchase deepens its Australian presence, following investments in energy, renewables, and transport since it opened a Sydney office in 2022.

What's the endgame? Harsh Agrawal, senior partner at I Squared, said the firm looks to "accelerate the digitalization of the network and create long-term value for customers, communities and our investors." oOh!media chair Philippa Kelly said I Squared's focus "aligns with the strategy of our CEO James Taylor and our experienced leadership team."

What could go wrong? The scheme still needs approval from oOh!media shareholders, courts, and regulators, plus a favourable independent expert conclusion. Completion is expected in Q4 2026.

The signal: Infrastructure investors are increasingly treating advertising networks as long-life assets, valuing their concessions and recurring revenue like utilities or transport. The 100% premium underscores how private capital is willing to pay up for physical media platforms with digital upside.
