Future Financial Bankshares to acquire Commercial State Bank

What's the deal?

Plano-based Future Financial Bankshares has signed a definitive agreement to acquire Palmer Bancshares and its wholly owned subsidiary, Commercial State Bank . The July 2026 announcement gives the newly formed Texas corporation control of a lender with roughly $121.3 million in total assets as of March 31, 2026.

Who's involved?

Commercial State Bank, established in 1930, runs banking offices in Palmer, Ferris, and Wilmer. It reported approximately $43.1 million in total loans, $108.5 million in deposits, and $12.4 million in total equity at quarter-end.

The rationale:

Future Financial was founded by chief executive officer Jeffrey A. Kesler, who has more than 25 years of banking experience. It plans to build on the bank while expanding services and using technology to strengthen customer relationships.

What Kesler says:

"We were looking to acquire a strong bank we could build upon and grow for the future." He added that the company intends to "preserve the local decision-making, relationships and customer service culture" that have defined the bank for decades.

What changes for customers?

Not much, by design. Chairman and chief executive officer Phillip Newsom, whose family has led the bank for 30 years, framed the deal as a way for the bank to "remain independent and retain its character as a community institution, but with added resources." Current president Chad Newsom will stay on after the acquisition.

The advisers:

Future Financial was advised by Fenimore Kay Harrison LLP and Commerce Street Capital LLC. Commercial State Bank was advised by Bradley Arant Boult Cummings LLP.

The signal:

The deal reflects a familiar path for small community banks — folding into larger owners to gain scale and technology while keeping local branding. For Future Financial, a brand-new entity, the 95-year-old lender offers a ready-made foundation to build a Texas banking platform.
