Essentra to acquire Italian components maker Boteco for €7.4M
What's the deal? Essentra plc, a London-listed global components manufacturer, has agreed to acquire Boteco Srl, a family-owned Italian designer and maker of mechanical components. The initial cash consideration is €7.4M, with up to €2.5M in deferred contingent payments.
Boteco, based in Vicenza, has over 50 years of history supplying more than 900 active customers worldwide. It makes handles, knobs, feet, hinges, and other machine components — products that complement Essentra's existing lineup.
The deal values Boteco at 6.5x EBITDA. Essentra expects a 15% return on invested capital by the third full year of ownership.
Why now? The acquisition follows Essentra's Device Technologies deal announced in December 2025 and signals an accelerating M&A strategy. Boteco generated roughly €7M in revenue in 2025, and the two companies already have a longstanding trading relationship — reducing integration risk.
Essentra is funding the deal through existing debt facilities, and it expects to close in the first half of 2026.
What could go wrong? Boteco is a small, family-owned business, and integrating it into a global public company always carries execution risk. Cross-selling synergies — the main financial rationale — are notoriously hard to realise in practice. The deferred contingent payment structure suggests both sides see some uncertainty around future performance.
The signal: This deal fits a broader pattern of large industrial components companies snapping up specialist European manufacturers to deepen their product ranges and expand manufacturing footprints. Essentra chief executive Scott Fawcett called it part of a strategy "combining organic investment with disciplined, value-accretive M&A."
Boteco's R&D focus on sustainable materials is also notable. As industrial customers increasingly demand greener supply chains, acquiring firms with existing capabilities in that area is becoming a competitive necessity rather than a nice-to-have.
