Transcept Pharmaceuticals
Focuses on the development of proprietary products that address therapeutic needs in the field of neuroscience
About Transcept Pharmaceuticals
Transcept Pharmaceuticals, Inc. was a specialty pharmaceutical company with a strategic focus on developing and commercializing proprietary products for the neuroscience sector. The company's primary achievement was the development of Intermezzo, a low-dose, sublingual formulation of zolpidem tartrate. This product received FDA approval in November 2011 and was the first drug specifically sanctioned for treating insomnia characterized by middle-of-the-night awakenings followed by difficulty returning to sleep.
The business model centered on the out-licensing of its commercialization rights. For its lead product, Intermezzo, Transcept partnered with Purdue Pharma, which handled the sales and marketing in the United States. This arrangement allowed Transcept to generate revenue without building its own large-scale sales infrastructure. Beyond Intermezzo, the company's pipeline included TO-2070, a preclinical candidate for the treatment of acute migraine.
Despite the milestone of achieving FDA approval for Intermezzo, the product struggled to gain significant market traction against the dominant player in the insomnia market, Ambien. Lagging sales and commercial challenges led the company to explore strategic alternatives. After facing pressure from investors and considering liquidation, Transcept announced a definitive merger agreement with Paratek Pharmaceuticals in July 2014.
The transaction was structured as a reverse merger, which allowed the privately-held Paratek to gain a Nasdaq listing through Transcept's existing public shell. The deal concluded in October 2014, with Paratek stockholders owning the vast majority of the combined entity. Following the merger, Transcept Pharmaceuticals was renamed Paratek Pharmaceuticals, and the company's operational focus shifted entirely to Paratek's pipeline of antibiotic treatments. All of Transcept's executives, including then-CEO Glenn Oclassen, resigned upon the completion of the agreement.
