Sema4 operated as a health intelligence company, spun out of the Mount Sinai Health System in June 2017. A significant milestone occurred in January 2022, when Sema4 announced its acquisition of GeneDx, a leader in genomic testing for rare diseases, for a total consideration of approximately $623 million. This acquisition was intended to create one of the largest providers of genomic clinical testing in the U.S. and significantly expand Sema4's database with over 300,000 clinical exomes. Following the acquisition, GeneDx's CEO, Katherine Stueland, became co-CEO of Sema4. However, the company soon faced challenges. In August 2022, Sema4 announced a major restructuring, eliminating approximately 250 positions and exiting the somatic tumor-testing business. Founder Eric Schadt resigned from his roles as president and chief R&D officer. By November 2022, the company announced it would also exit the reproductive health testing business, laying off another 500 employees and closing its Connecticut labs to focus on the clinicogenomic insights market and its Centrellis platform. This strategic shift was aimed at reducing cash burn and charting a course toward profitability by 2025. In January 2023, Sema4 Holdings Corp. announced it was changing its name to GeneDx Holdings Corp. and would trade under the new ticker symbol "WGS". The original Sema4 entity ceased to exist, with the company rebranding to operate as GeneDx.
