Replidyne
A biopharmaceutical company focused on the discovery and development of new antimicrobial drugs
About Replidyne
Replidyne, Inc. was a biopharmaceutical company established in 2000 and headquartered in Louisville, Colorado. The firm concentrated on the discovery and development of drugs to combat serious infectious diseases. Its primary focus was on creating novel antibacterial drugs that worked by directly inhibiting bacterial DNA replication, a mechanism aimed at addressing life-threatening infectious diseases. One of its key development programs was for faropenem medoxomil, an oral antibiotic.
The company was led by President and CEO Kenneth J. Collins. Under his leadership, Replidyne went through several funding rounds, raising a total of $116 million from investors including TPG, Healthcare Ventures, Temasek, and Morgenthaler. A significant milestone was a partnership with Forest Laboratories, which was potentially worth $190 million. However, this partnership was terminated after the U.S. Food and Drug Administration (FDA) rejected faropenem medoxomil for all its proposed uses without further clinical trials. Despite this setback, Replidyne received a $55.6 million break-up fee from Forest.
Following the FDA's decision and the end of its major partnership, Replidyne began exploring strategic alternatives. This process culminated in a definitive merger agreement with Cardiovascular Systems, Inc. (CSI), a private medical device company, announced in November 2008. The all-stock transaction was a reverse merger that allowed CSI to become a publicly-traded company without an initial public offering. The merger was completed in February 2009, with former CSI shareholders owning 83% of the new entity, which retained the Cardiovascular Systems name and traded on Nasdaq under the symbol CSII. The deal provided the combined company with approximately $37 million in net assets, primarily cash from Replidyne. This marked the end of Replidyne as an independent entity, as it was absorbed into CSI, shifting its focus from antibiotics to cardiovascular medical devices.
