About Optika
In the world of enterprise software, a common strategy is the roll-up, where one company acquires another to consolidate the market. In the early 2000s, the content management space was ripe for such moves. Optika Inc., a Colorado-based company, had carved out a niche with its Acorde product line, focusing on imaging and business process management. Their software helped businesses manage content like scanned images and claims processing workflows. Meanwhile, Stellent Inc. was making a name for itself in web content and document management. Seeing a bigger opportunity, Stellent's CEO, Robert Olson, recognized that customers wanted to consolidate all their content needs—from web pages to internal records—with a single vendor. This set the stage for a strategic acquisition. In January 2004, Stellent announced its move to acquire Optika, valuing the deal at approximately $59 million in cash and stock. The merger, completed in May 2004, was a classic roll-up play. It allowed Stellent to integrate Optika's imaging and workflow capabilities into its own suite, creating a more comprehensive enterprise content management platform. Mark Ruport, the former CEO of Optika, joined Stellent as the executive vice president of operations, helping to smooth the integration of the two companies. The combined entity now had a stronger product offering and a larger customer base of around 3,500 companies, positioning itself as a more formidable player in the growing content management industry.
