About Myogen

Myogen, Inc. was a biopharmaceutical firm established in 1996 with a focus on developing and commercializing therapeutics for cardiovascular disorders. The company, led by President and CEO J. William Freytag, centered its efforts on creating treatments for life-threatening diseases. Myogen's business strategy involved identifying promising drug candidates, guiding them through late-stage clinical development, and securing regulatory approval. A key part of its operations included forming strategic partnerships, such as a research collaboration with Novartis to discover drugs for chronic heart failure and an agreement with GlaxoSmithKline to market "Flolan" in the United States.

The company's product pipeline was a core component of its operations. Myogen's lead product candidate was ambrisentan, an oral endothelin receptor antagonist designed to treat pulmonary arterial hypertension (PAH). Another significant product in development was darusentan, also an endothelin receptor antagonist, aimed at treating resistant hypertension. The company's revenue model was based on product sales, licensing agreements, and collaborations with larger pharmaceutical companies. By January 2002, Myogen had two primary products in its late-stage pipeline: oral enoximone for advanced heart failure and ambrisentan. The development of these specialized drugs positioned Myogen within the competitive biopharmaceutical market focused on cardiovascular and pulmonary diseases.

Myogen's trajectory culminated in a significant acquisition. On November 17, 2006, Gilead Sciences completed its acquisition of Myogen for approximately $2.5 billion. The deal was structured as a cash tender offer followed by a merger, resulting in Myogen becoming a wholly-owned subsidiary of Gilead. This acquisition was a strategic move for Gilead to enhance its portfolio in pulmonology and gain control of the promising late-stage drug candidate, ambrisentan. Before the acquisition, Myogen had successfully raised at least $159 million in funding over several rounds from investors including New Enterprise Associates, J.P. Morgan, and Adams Street Partners.
