China's Zylox-Tonbridge, GL Capital put $189M into LifeTech to build vascular platform

What's the deal? Hong Kong-listed LifeTech ScientificDealroom has a profile for this one. Try Dealroom → raised US$179.1M in a post-IPO equity deal led by Zylox-Tonbridge Medical TechnologyDealroom has a profile for this one. Try Dealroom → and GL CapitalDealroom has a profile for this one. Try Dealroom →. The two investors are subscribing for newly issued shares equal to roughly 16.7% of LifeTech's enlarged share capital through vehicle Lighthouse Two, which becomes the company's largest single shareholder.

What's the endgame? The aim is an integrated vascular and structural-heart intervention platform in China. LifeTech specialises in aortic and structural-heart devices; Zylox-Tonbridge brings peripheral vascular and neurovascular products — together spanning four therapeutic areas.

Why now? China's cardiovascular-device sector is consolidating fast. LifeTech agreed in May to buy 96.46% of Starway Medical for about US$257.1M, while rivals race to assemble broader "pan-vascular" platforms.

In a linked transaction, GL Capital will subscribe for 39.8 million new Zylox-Tonbridge shares at US$2.66 each — roughly 10.8% of its enlarged capital, and a 13.5% premium to the closing price on announcement day. Those proceeds fund further investment in LifeTech and international expansion. Zylox-Tonbridge, whose first-half 2026 revenue rose 31.1% to US$86.9M, also intends to pursue a potential merger with LifeTech.

Where it sits: Among post-IPO equity deals in the health sector, the round ranks around the 91st percentile by size, based on a sample of 6,578 deals — a sizeable raise for the category.

What could go wrong? The proposed merger remains prospective. Execution, regulatory review, and integration are the key uncertainties, and LifeTech's shares are down 13.1% over the past year.

The signal: The deal reflects a broader push among Chinese medtech firms to combine complementary portfolios and global sales networks into single, larger platforms. If Zylox-Tonbridge completes a merger, it would fuse neurovascular, peripheral, aortic, and structural-heart businesses under one roof.
