Edelteq completes $3.77M deal for control of automation firm Nixma

What's the deal? Malaysian semiconductor equipment maker Edelteq Holdings has completed its acquisition of a 51% stake in Penang-based factory automation firm NixmaDealroom has a profile for this one. Try Dealroom → Technology for US$3.66M (roughly $3.77 million). The deal, announced in October and completed on November 6, 2026, makes Nixma a consolidated subsidiary.

How it is structured: Edelteq paid US$1.08M cash for a 15% stake from Nixma's three shareholders and subscribed to new shares for a further 36% at US$2.58M. The founders keep the remaining 49% and continue running daily operations, with key personnel required to stay for at least five years.

What's the endgame? Edelteq provides engineering support for semiconductor assembly and testing. Nixma, founded in 2017, designs factory automation gear—robotics, leak detection, and precision systems—for sectors including electronics, automotive, defence, and medical equipment.

The move fits Edelteq's broader pivot away from low-margin contract manufacturing. The group is targeting proprietary equipment and technology to contribute about 65% of revenue by FY2027. Management said the deal offers "cross-selling, business expansion and operational synergies."

Why now? The US$2.58M from the share subscription goes directly to Nixma to fund expansion, including a new factory, industrial land, or existing premises. Edelteq is funding the deal through internal cash and bank borrowings.

What could go wrong? The US$3.66M values Nixma at about US$7.17M—five times a guaranteed FY2026 net profit of at least US$1.43M. That is a sharp step up from Nixma's US$801.1K profit in 2025, and the sellers must cover any shortfall against the guarantee.

The signal: The deal reflects a pattern of cash-generative Southeast Asian groups buying profitable, well-run engineering businesses that fit a clear thesis. For Edelteq, anchoring the price to a guaranteed earnings figure shifts execution risk to the founders while broadening its earnings base beyond semiconductors.
