Bernhard closes $1B take-private of engineering firm Bowman
What's the deal? Bernhard Capital Partners has completed its roughly $1 billion all-cash acquisition of BowmanDealroom has a profile for this one. Try Dealroom → Consulting Group, taking the national engineering services firm private. Bowman's stock has stopped trading and will be delisted from Nasdaq.
What each does: Bowman, based in Reston, Virginia, provides engineering and technical services for the built environment, spanning planning, geospatial services, construction management, environmental consulting, and land procurement. Bernhard is a private markets firm focused on infrastructure services and assets.
Why now? The closing follows an August deal in which Bernhard agreed to pay $43 a share — a roughly 58% premium to Bowman's unaffected price. Bowman reported $490 million in 2025 gross contract revenue and has acquired more than 40 businesses since its 2021 IPO.
What's the endgame? Bernhard and Bowman plan to continue the company's strategy of organic growth and acquisitions, expanding its technical capabilities across infrastructure markets. "Bowman's breadth of capabilities and national reach position it well for continued growth," said Mark Spender, chief investment officer at Bernhard.
Founder and chief executive officer Gary Bowman framed the sale as a new phase. "Bernhard understands our business and shares our conviction in the opportunities ahead," he said.
The signal: The deal reflects active consolidation in civil engineering services, where an industry report counted 205 transactions worth $6.1 billion year to date, with private-equity buyers prominent. Rather than a one-off exit, it moves a fast-growing, acquisitive engineering platform into private-equity ownership, where further expansion is an explicit goal.
