Enterprise prices $1.5B note sale to fund growth and refinance debt
What's the deal? Enterprise Products Partners priced a $1.5 billion public offering of senior notes on November 5, 2026. The sale, issued through operating subsidiary Enterprise Products Operating, splits evenly into $750 million of notes due in 2032 at a 5.20% coupon and $750 million due in 2037 at 5.65%.
What's the endgame? Enterprise is a midstream energy operator whose assets include more than 50,000 miles of pipelines and over 300 million barrels of storage capacity. It plans to use the proceeds for general purposes, including growth capital and acquisitions, and to repay debt.
Why now? The company faces near-term maturities, including $1.0 billion of 4.60% notes due in January 2027 and $575 million of 3.95% notes due in February 2027. The new offering helps refinance those obligations and pay down commercial paper.
The context: The raise fits an ongoing funding program rather than a new strategy. Enterprise reported $6.3 billion of growth projects under construction and expects $2.9–$3.4 billion in 2026 growth capital spending, net of asset-sale proceeds. Its latest reported debt principal stood at $33.7 billion, with a 17-year average maturity and 96% fixed-rate exposure.

The signal: At $1.5 billion, the deal ranks among the larger post-IPO debt raises in US energy, sitting in the 90th percentile across 840 comparable rounds. For a capital-heavy midstream operator, the offering is less a bet than a routine lever for funding projects and managing a large balance sheet.
