RE Royalties opens $3.57M green bond to fuel renewable royalty pipeline
What's the deal? RE RoyaltiesDealroom has a profile for this one. Try Dealroom → has launched its fifth secured green bond offering, a post-IPO debt raise of up to US$3.67M (roughly $3.57 million). The Vancouver company is selling Series 5 bonds through a non-brokered private placement, with closing expected around November 30, 2026.
The terms: The five-year bonds pay 7.5% annual interest, are secured against the company's royalty and loan portfolio, and come with warrants exercisable at US$0.26 per share. That coupon sits below the 9% on its 2024 Series 4 bonds, though the securities' terms differ.
What does RE Royalties do? It uses a royalty-financing model, holding more than 100 royalty interests across solar, wind, hydro, battery storage, renewable natural gas, and energy efficiency projects in North America, South America, and Asia.
What's the money for? Net proceeds will go into renewable energy assets tied to greenhouse gas reduction and energy transition goals. The raise backs a sizeable pipeline: the company reported about $20 million in letters of intent and another $200 million in potential investments in March, and has since made royalty investments in US distributed solar and Philippine rooftop projects.
Why now? The offering lands alongside a strategic review that could lead to partnerships, capital-structure changes, or a sale. "This financing positions us to continue building recurring cash flow and long-term shareholder value," said chief executive officer Bernard Tan.
What could go wrong? The offering is proposed and remains subject to corporate and regulatory approval, including from the TSX Venture Exchange. It may also close in multiple tranches, so the full US$3.67M is not guaranteed.
The signal: This is a modest step-up rather than a major sector financing, but the lower coupon and active pipeline suggest RE Royalties is testing stronger investor appetite for its royalty model as the energy transition draws steady, if unglamorous, capital.
