Style Capital buys Italian label N21, unseating distressed partner Gilmar

What's the deal? Style CapitalDealroom has a profile for this one. Try Dealroom → has acquired N21, the Milan-based fashion brand founded by Alessandro Dell'Acqua in 2010. The investment firm announced the deal on November 2, 2026, without disclosing financial terms of what it called a "complex corporate transaction." Dell'Acqua stays on as creative director.

What changes? Long-standing industrial partner Gilmar exits the business. N21, stocked in more than 250 multibrand stores worldwide, keeps its creative autonomy while Style Capital brings in strategic, managerial, and industrial support.

Why now? Gilmar has entered a court-supervised restructuring process, reporting €37.2 million in liabilities as of July 2026. The deal shifts N21 away from a distressed partner and brings in fresh backing.

What's the endgame? Style Capital aims to back N21's international expansion. "Sono felice che N21 possa intraprendere questa nuova fase," Dell'Acqua said — "I am happy that N21 can embark on this new phase" (translated from Italian), praising founder Roberta Benaglia's knowledge of the sector.

The acquisition fits Style Capital's strategy of building fashion brands. Its portfolio already includes MSGM, ZimmermannDealroom has a profile for this one. Try Dealroom →, SoeurDealroom has a profile for this one. Try Dealroom →, and AutryDealroom has a profile for this one. Try Dealroom →.

What could go wrong? The key test is whether Style Capital can deliver the operational support and growth it promises while preserving the brand's creative identity.

The signal: Investors remain active but selective in fashion and luxury, and Style Capital continues to consolidate Italian labels — this time rescuing one from a troubled industrial partner.
