Agility Robotics clears SPAC vote, expects $465M and Nasdaq debut November 5

What's the deal? Agility Robotics will go public via a merger with Churchill Capital Corp XIDealroom has a profile for this one. Try Dealroom → after shareholders approved the deal on November 2, 2026, with more than 84% of votes cast in favour. The combination values the humanoid robot maker at a $2.5 billion pre-money equity valuation and is expected to deliver about $465 million in gross capital.

What does Agility do? The Salem, Oregon company, which spun out of Oregon State University, builds Digit, a humanoid robot designed to work alongside people in warehouses and factories. Its customers include SchaefflerDealroom has a profile for this one. Try Dealroom →, GXODealroom has a profile for this one. Try Dealroom →, and Toyota.

The money. The $465 million breaks down into roughly $164 million from Churchill XI's trust account, a $201 million PIPE led by Foxconn at $10 per share, and $100 million in equity already received. The capital is earmarked for manufacturing and commercial deployments of Digit.

Why it matters. The total is down from more than $620 million projected in June, after holders of roughly 61.5% of Class A shares redeemed and trust cash fell from about $424 million to $164 million. The shortfall shows how redemptions squeeze SPAC math even for closely watched names.

What's the endgame? Agility points to early commercial traction: GXO plans to expand Digit to two more US facilities in 2027 after the robots moved more than 100,000 totes at an existing site. Foxconn's PIPE ties a major electronics manufacturer to humanoid production economics.

What could go wrong? As a public company, Agility's cash burn, Digit unit economics, and contract terms face quarterly disclosure for the first time. The economics of the new GXO deployments remain undisclosed, making execution — not the ticker debut — the real test.

The signal: The listing is a rare public-market test for the humanoid sector, which has drawn heavy investor appetite but little proof of scalable economics. Trading on Nasdaq under the ticker AGLT is expected to begin November 5, 2026.
