Dongmu closes $101M deal for MIM parts maker Future High-tech
What's the deal? Dongmu New Materials (东睦股份) has completed its acquisition of a 34.75% stake in Shanghai Future High-tech (上海富驰高科技) for US$92.5M (roughly $101 million). China International Capital Corporation (CICC) acted as sole independent financial adviser and lead underwriter.
How it's structured: Dongmu paid US$71.5M in shares and US$21.1M in cash to five sellers, led by Yuanzhi Xinghuo. It also raised US$70.8M in supporting funds alongside the deal.
What each side does: Dongmu runs three materials platforms — powder compaction, soft magnetic composites, and metal injection moulding (MIM). Future High-tech makes MIM precision parts, a technology Dongmu now consolidates more tightly.
Why now? The stake purchase and the capital raise had already closed separately; this month's step finalises the whole project. Dongmu lifted its holding in Future High-tech to 99% in August, and completing the follow-on funding in October wrapped it up.
What's the endgame? About US$49.6M of the raised funds will go toward upgrading and expanding MIM production lines. The target markets are high-end consumer electronics, AI computing, and robotics components.
What could go wrong? The deal carries performance commitments for 2026 to 2028. Whether those targets are met remains to be seen.
Following the share issuance, Dongmu's registered capital rose to US$94.7M from US$86.8M, with total shares increasing by 57,125,045. The board approved matching amendments to the company's articles of association.
The signal: The transaction reflects a push to consolidate advanced manufacturing capacity in China around precision parts for emerging demand. By folding Future High-tech more fully into its operations and funding new capacity, Dongmu is betting on AI, robotics, and premium electronics driving the next wave of component orders.
