What's the deal? Guosheng Investment has acquired a 12.96% stake in Shanghai Fudan MicroelectronicsDealroom has a profile for this one. Try Dealroom → for US$706.5M, making it the chipmaker's largest shareholder. The transfer of 106,730,000 A-shares from former significant shareholder Fuxin Fangao completed with final registration on 27 October 2026.
What changes? Despite becoming the top holder, Guosheng does not gain control. Fudan says it will still have no controlling shareholder or actual controller, and the deal is not a takeover bid.
Who's involved? Fudan Microelectronics is a PRC-incorporated semiconductor company listed in Hong Kong and on Shanghai's STAR Market, with a market capitalisation of US$4.53B. It makes integrated circuit products across multiple application segments. Guosheng Investment is a Shanghai state-owned investor.
What's next? The company says the deal complies with PRC securities and takeover rules, will not disrupt operations or harm minority investors. Guosheng is barred from selling the shares for 18 months.
The signal: The deal fits a broader pattern of state-backed capital taking larger positions in China's chip sector, following moves such as SMIC's 2026 purchase of the remaining 49% of its Beijing fab. For Fudan, the shift is notable chiefly as a stronger Shanghai state-capital presence — not a disclosed change in corporate control.
