TIM buys 70% of VoiSmart to tighten grip on Italian digital services
What's the deal? Telecom Italia (TIMDealroom has a profile for this one. Try Dealroom →) has completed the acquisition of a 70% stake in VoiSmart, a Milan-based company that builds proprietary tools for unified and omnichannel communications, Wi-Fi customer engagement, and artificial intelligence. The deal value was not disclosed. Put and call options let TIM acquire the remaining capital by 2030.
What changes? Biagio Passaro, previously VoiSmart's sole director and majority shareholder through Girasoli Srl, becomes chief executive officer and stays on as a minority shareholder. The acquisition expands TIM Enterprise's portfolio across VoIP, omnichannel services, collaboration, and AI.
What's the endgame? TIM Enterprise is the group's division for the digital transformation of large companies, public administrations, and strategic sectors. The group says the deal reduces dependence on third-party technologies and strengthens customers' digital sovereignty through control of platforms, data, and processes.
Why now? The move fits TIM's broader push to build Italian-controlled digital services, including domestic cloud and edge infrastructure, sovereign AI, a Microsoft collaboration, and a planned AI platform with Nvidia. TIM Enterprise reported 15 consecutive quarters of service-revenue growth in its May results, with cloud revenue up 14.5% year on year.
"For companies and administrations managing critical services, control of technologies developed in Italy provides guarantees regarding data localization and communications management," said Mirko Mischiatti, TIM's chief enterprise and innovative solutions officer.
Passaro said TIM's entry will let VoiSmart expand its reach in Italy and abroad, drawing on TIM Enterprise's commercial presence and industrial capabilities.
The signal: Communications software is a logical extension of a growing TIM business line, and the options through 2030 leave room to move toward full ownership later. The strategic rationale is clearer than the financial impact, since the announcement carries no purchase price or quantified contribution.
