Stora Enso approves split to spin out $9.8B Swedish forest arm

What's the deal? Stora EnsoDealroom has a profile for this one. Try Dealroom →'s board has approved a demerger plan to separate its Swedish forest assets into Bergslagets Skogar, a new company that would list on Nasdaq Stockholm and Nasdaq Helsinki. The unit holds more than 1.2 million hectares of Swedish forest and would become Europe's largest listed pure-play forest company. Stora Enso valued its forest assets at €8.4 billion as of September.

Why now? The board's approval formalises a separation first announced in November 2025, following a strategic review. Shareholders are expected to vote on the deal at an extraordinary general meeting on 15 December 2026, with completion planned for 31 March 2027.

What's the endgame? The split lets Stora Enso concentrate on renewable materials and packaging while giving investors a direct way to value forest assets. The company says it aims to "unlock the full potential" of both businesses, optimise capital allocation, and reduce group complexity.

Bergslagets Skogar's new management team will host its first Capital Markets Day on 3 November 2026 to present its strategy, dividend policy, and capital structure as a standalone business.

By the numbers: The vote looks secure. Stora Enso's top five shareholders by votes, holding about 28.6% of shares and 69.9% of votes, have irrevocably undertaken to attend the meeting and vote in favour.

What could go wrong? The listing remains ahead, and the new company's targets will be tested against cyclical wood markets. Stora Enso expects mixed, uncertain conditions and higher wood costs in the fourth quarter, with pulpwood prices easing across Sweden and Finland.

The signal: The demerger reflects a push to let markets value forest land on its own merits, separate from industrial operations. Stora Enso frames forests as an inflation-resilient asset whose value comes from biological growth and long-term land appreciation — a thesis investors will now get to price directly.
