Try Dealroom → has signed a share purchase agreement to acquire CorveniaDealroom has a profile for this one. Try Dealroom →, an AI-driven financial consolidation platform, in an all-share reverse acquisition. Shareholders holding roughly 73% of Corvenia have signed, and the deal values the target at about US$28.9M (roughly $25 million).
What's the endgame? Beyond Frames plans to rename itself Corvenia and refocus entirely on its AI platform for "Group Intelligence," which automates consolidation across different financial and business systems, countries, and currencies. The current gaming business is set to be divested.
How is it structured? The consideration is paid solely in newly issued Beyond Frames shares, with no cash or contingent payment. On completion, Corvenia shareholders would own 75% of the combined company and existing Beyond Frames shareholders 25%.
Why now? The agreement turns a non-binding letter of intent from September into a firmer deal. "The transaction gives Corvenia access to the capital markets and good opportunities to grow faster in the Nordics and globally," said Øivind Horpestad, chairman of Corvenia.
What could go wrong? The deal is not yet complete. It needs approval from Spotlight Stock Market, a resolution from Beyond Frames' extraordinary general meeting planned for December 1, and acceptance from Corvenia shareholders holding more than 90% of shares. Completion is targeted no later than December 21, 2026.
