Chahals launch $476,000 open offer for 26% of Natura Hue-Chem

What's the deal? Kanika Chahal and Anuj Chahal have launched a mandatory open offer for up to 26% of Natura Hue-Chem, a BSE-listed Indian chemicals company. The offer covers 1,077,778 shares at US$0.57 each, valuing the potential purchase at US$615.2K in cash if fully accepted.

Why now? The offer was triggered by a share purchase agreement dated October 28, 2026, under which the Chahals agreed to buy 643,600 shares — a 15.53% stake — from existing promoters at US$0.33 per share. Under India's takeover rules, that acquisition obliges the buyers to extend a public offer for a further 26%.

What changes? Once the offer completes, the Chahals will be classified as promoters, lifting their combined holding from 3.02% to 18.55%. The outgoing promoter group, including Narendra Kachhawat, will be reclassified as public shareholders.

The mismatch: Public shareholders are being offered US$0.57 per share — a 75% premium over the US$0.33 the Chahals paid promoters privately. The gap reflects India's rule setting the offer price on historical trading averages rather than the negotiated deal value.

The offer carries no minimum acceptance condition, and payment will be made in cash. A detailed public statement is due within five working days.

What could go wrong? Recent company data show no revenue in the quarters through June 2026, and the filing discloses no operating plan. The change in control, not a stated business expansion, is the key point to watch.

The signal: The deal lands amid a run of Indian chemicals-sector acquisitions, though far larger ones — Indo Borax's US$33.4M bid for KronoxDealroom has a profile for this one. Try Dealroom → and Anupam Rasayan's US$237.7M buy of Bliss GVS PharmaDealroom has a profile for this one. Try Dealroom → — dwarf it. Natura Hue-Chem stands out instead as a small-company ownership transition, with the Chahals' intentions still unknown.
