Banner posts $47.7M quarterly profit as it absorbs Bank of the Pacific

What's the deal? Walla Walla-based Banner BankDealroom has a profile for this one. Try Dealroom → reported third-quarter 2026 net income of $47.7 million, or $1.36 per diluted share, down from $48.9 million the prior quarter and $53.5 million a year earlier. The decline followed its completed acquisition of Pacific Financial Corporation, the parent of Bank of the Pacific.

Why now? Banner closed the Pacific Financial deal on September 1, 2026, folding the Western Washington lender's branches into its network. The quarter carried $5.2 million in merger-related costs, compared with $238,000 the previous quarter and none a year ago.

By the numbers: Net interest income rose to $161.9 million, up from $153.7 million in the second quarter and $150 million a year earlier. Banner credited the gain to more interest-earning assets from the acquisition, organic loan growth, and a wider net interest margin.

For the nine months to September 30, Banner earned $151.3 million, or $4.39 per share, ahead of the $144.1 million in the same stretch of 2025. The board declared a quarterly dividend of $0.52 per share, payable November 13.

What's the endgame? Banner says the deal extends what it calls its "super community bank model," which prioritises deepening client relationships and a strong funding base.

"Banner continues to build on a foundation of solid credit quality, backed by a well-funded credit loss reserve and a robust capital position," said Mark Grescovich, president and chief executive officer.

The signal: Regional US banks are leaning on mergers to add scale and lending capacity as margins tighten. Banner's results show the short-term profit hit from integration costs set against the longer-term boost to interest income.
