Orangewood buys majority of Refrigerated Solutions Group to launch foodservice platform

What's the deal? Orangewood PartnersDealroom has a profile for this one. Try Dealroom → has acquired a majority interest in Refrigerated Solutions GroupDealroom has a profile for this one. Try Dealroom → (RSG), a manufacturer of commercial walk-in coolers, freezers, and refrigeration systems. The private investment firm, focused on business services and multi-unit businesses, announced the buyout in October. Terms were not disclosed, and existing shareholders kept a meaningful stake.

What's the endgame? RSG is the launch asset for THRM, Orangewood's new platform aimed at acquiring and improving foodservice-equipment and services businesses. Through THRM, Orangewood plans to drive organic growth, pursue acquisitions, and expand into adjacent products and technology.

Who's running it? Orangewood has partnered with Dave Brewer, former executive vice president and COO of Middleby, who becomes THRM founder and chairman. Chris Duffy, ex-president of Middleby's Coffee Solutions Group, will serve as chief executive officer. Aaron Brown stays on as CEO of RSG.

Why now? Orangewood's thesis rests on long-term trends: off-premises food preparation, labor shortages, rising operating costs, evolving food safety rules, and growing demand for automation in commercial kitchens. It drew on experience owning more than 400 quick service restaurants.

Orangewood sourced the deal outside an auction process. "RSG is an established operator in commercial refrigeration, with in-house manufacturing, well-known brands and a long-standing customer base," said Grant Palmer, managing director of Orangewood Partners.

Brewer framed the opportunity around fragmentation. "The commercial foodservice equipment industry is a market with a large number of independent operators, and we see a real opportunity to build a platform that brings together strong businesses with complementary products and customer relationships," he said.

The signal: The deal fits a clear consolidation push in commercial foodservice refrigeration. Mill PointDealroom has a profile for this one. Try Dealroom →-backed AeriTek has made several North American acquisitions this year, while KPS GlobalDealroom has a profile for this one. Try Dealroom → completed its buyout of Everidge in August. Orangewood is taking a different route — building a new platform from scratch — but the message is the same: investors are racing to assemble scale in a fragmented market.
